Aruba Networks, Inc. (NASDAQ: ARUN) was today upgraded by Barclays Capital from Equal weight to overweight. Now ARUN is up 4.11% at $9.88 on 1.1 million shares. The 52 week trading range for ARUN is $1.85 - $9.99.

Omega Healthcare Investors, Inc. (NYSE: OHI) was upgraded from market Perform to market Outperform by JMP Securities with a price target of $22.00. OSUR is now trading at $18.60, 2.71% up on 960K shares.

Zimmer Holdings, Inc. (NYSE: ZMH) was also upgraded today from Neutral to Buy by UBS and also raises their price target to $64 from $59. ZMH is now up 2% at $57.89 on 952K shares. MRX has made a new 52 week high at $57.98 today.

(ZMH) Zimmer Holdings to Sell Notes in Public Offering

Zimmer Holdings, Inc. (ZMH) recently decided to raise $1 billion by selling its senior unsecured notes in an underwritten public offering in two separate transactions. The transactions involve selling $500.0 million of 4.625% notes due 2019 and $500.0 million of 5.75% notes due 2039. The public offering is expected to close on Nov 17, 2009.
 
Zimmer has already filed an automatic shelf registration statement on Form S-3 with the Securities and Exchange Commission for the public offer. Citigroup Global Markets Inc., a division of Citigroup, Inc. (C); Banc of America Securities LLC, a division of Bank of America Corp. (BAC); and J.P. Morgan Securities Inc., a division of JPMorgan Chase & Co. (JPM) are the active joint book-running managers of the offering. The offer will be made to the public through the prospectus.
 
The 2019 notes yield 118 basis points above the Treasury benchmark and the 2039 notes yield 135 basis points above the Treasury benchmark. Zimmer will use the net proceeds of the offering to repay its outstanding credit balance under its credit facility and for general corporate purposes like the company’s stock repurchase program. Zimmer already had cash and cash equivalents of roughly $440 million at the end of the third quarter of 2009.
 
Zimmer is a global leader in the design, development, manufacture, and marketing of reconstructive implants, and trauma and related orthopedic surgical products. The company competes in the orthopedic market with players like Stryker Corp. (SYK), Wright Medical (WMGI), and Smith & Nephew (SNN).

OtisMed Corp. is a privately held software technology firm that focuses on customizable instrumentation complementing Stryker’s Triathlon Knee System, as well as other Stryker implants. Stryker will incorporate OtisMed as part of its Orthopaedics division.

Mutoh Co. Ltd. is a Japanese company and a leading provider of equipment, products, instruments and services to the medical and scientific communities. On the other hand, Synergetics USA, Inc. is a leading supplier of precision microsurgery instrumentation.

Mutoh and Synergetics acquisitions give Stryker access to different assets used to produce Sonopet Ultrasonic Aspirator control consoles, hand pieces and accessories as well as the rights to market and sell these products globally. Post the completion of the acquisition, Stryker will incorporate these two companies into its Instruments division.

The acquisitions widen Stryker’s product portfolio and will boost its top-line. Stryker is one of the world’s largest medical device companies operating in the global orthopedic market. In the orthopedic space, Stryker faces competition from major players like Zimmer Holdings (ZMH), Conmed Corporation (CNMD) and Smith & Nephew (SNN).
